These Terms & Conditions (“Terms”) govern your access to and use of the website located at serpnex.com and the SerpNex keyword rank tracking service (together, the “Service”), operated by SerpNex (“SerpNex,” “we,” “us,” or “our”). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms.
1. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at contact@serpnex.com if you suspect unauthorized use.
2. Subscription plans & billing
SerpNex is offered on paid monthly subscription plans (Starter, Solo, Pro, and Agency). Subscription fees are billed in advance in U.S. dollars through PayPal or another payment provider we designate. Your plan renews automatically at the end of each billing cycle unless you cancel before the renewal date. Introductory promotional pricing applies only during the first billing cycle unless expressly stated otherwise.
You may upgrade, downgrade, or cancel your subscription at any time from your dashboard. Downgrades and cancellations take effect at the end of the current paid period; you retain access to paid features until then. Except as required by law, all fees are non-refundable.
3. Acceptable use
You agree not to: (a) resell or sublicense the Service without our written consent; (b) reverse engineer, decompile, or attempt to derive source code; (c) use the Service to violate any law, infringe third-party rights, or send spam; (d) attempt to scrape, disrupt, or overload our infrastructure; (e) impersonate any person or misrepresent your affiliation. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Data & rank tracking
SerpNex retrieves search-engine ranking data using third-party providers (currently DataForSEO). Ranking data is provided on a best-effort basis and may be delayed, inaccurate, or missing due to events outside our control (search-engine changes, provider outages, geographic variance, personalization). We make no guarantee of ranking accuracy, completeness, or continuous availability.
You retain ownership of the keywords, projects, notes, and content you upload. You grant SerpNex a worldwide, non-exclusive, royalty-free license to process this data solely to provide, secure, and improve the Service.
5. Intellectual property
The Service, including the SerpNex name, logo, code, and design, is owned by SerpNex and its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms. No other rights are granted by implication or estoppel.
6. Third-party services
The Service integrates with third-party providers including PayPal (payments), DataForSEO (rank data), and Resend (transactional email). Your use of those services is subject to their respective terms. We are not responsible for the acts or omissions of any third-party provider.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SERPNEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RANKING DATA WILL BE ACCURATE OR COMPLETE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERPNEX AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID SERPNEX IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. Termination
You may terminate your account at any time by canceling your subscription and requesting deletion at contact@serpnex.com. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or engage in fraudulent activity. Upon termination, your right to use the Service ends immediately; sections that by their nature should survive (e.g., IP, disclaimers, limitation of liability) will survive.
10. Changes to the Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which SerpNex is established, without regard to conflict-of-law rules. Any dispute arising out of these Terms shall be resolved in the competent courts of that jurisdiction.
